1. Acceptance of terms

By accessing or using the Halaqa service ("Service") operated by Nasser Al-Solaitti ("we", "us", "our") under Commercial Registration #332887, you ("Subscriber", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms form a binding agreement between you and us. We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify you of material changes via email at least 30 days before they take effect.

2. The Halaqa service

Halaqa provides an AI-powered WhatsApp receptionist service that handles appointment bookings, sends automated reminders, and answers frequently asked questions for businesses in Qatar and the GCC.

The Service is provided on a subscription basis with the following plan tiers:

WhatsApp Business API: Halaqa uses the official Meta WhatsApp Business API. Your WhatsApp Business number remains yours. Use of the API is subject to Meta's WhatsApp Business Terms and the Meta Developer Terms. We are not affiliated with or endorsed by Meta.

3. Your account

You must provide accurate information when creating an account. You are responsible for keeping your login credentials secure. You are fully responsible for all activity under your account, including activity by your staff.

You must be at least 18 years old to use the Service. Businesses must hold a valid Qatar Commercial Registration or equivalent.

We reserve the right to suspend or terminate accounts that provide false information, that violate these Terms, or that use the Service for prohibited purposes.

4. Acceptable use

You agree NOT to use Halaqa to:

We may immediately suspend or terminate your account if you breach this section, without refund.

5. Fees and billing

Subscription fees are billed monthly in Qatari Riyals (QAR). Fees are non-refundable except as required by Qatar consumer protection law.

If you exceed your monthly message allowance, additional messages are billed at QR 0.40 per message. We will notify you when you reach 80% of your limit.

Failed payments may result in service suspension after 7 days. We reserve the right to charge interest on overdue amounts at 1.5% per month.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months.

6. Intellectual property

Halaqa's name, logo, website, software, and documentation are owned by Nasser Al-Solaitti. You may not use our branding without prior written permission.

You retain all rights to your business's content, branding, and data. You grant us a limited license to use your business name and configuration solely to deliver the Service.

AI-generated responses created by Halaqa in the course of serving your business are considered part of the Service output and are your property to use. We retain the right to use anonymized, aggregated data about Service performance for product improvement.

7. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with this agreement. This does not apply to information that is publicly available, already known to the recipient, or required to be disclosed by law.

8. Data and privacy

Your use of Halaqa is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

You are the data controller for your customers' personal data processed through Halaqa. We act as your data processor. You represent that you have obtained all necessary consents and legal bases for processing your customers' data through Halaqa.

9. Warranties and disclaimer

We warrant that: (a) we have the right to provide the Service; (b) we will provide the Service with reasonable skill and care; (c) the Service will be provided uninterrupted and error-free to the best of our ability, though we do not guarantee 100% uptime.

EXCEPT AS SET OUT ABOVE, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

To the maximum extent permitted by Qatar law, our total liability arising from or related to these Terms or the Service shall not exceed the total fees paid by you to us in the 3 months preceding the event giving rise to liability.

We shall not be liable for: indirect, consequential, special, or punitive damages; loss of revenue, profits, or business; loss of data; or liability arising from your customers' claims against you (you are responsible for ensuring your use of the Service complies with applicable laws).

11. Indemnification

You agree to indemnify, defend, and hold harmless Nasser Al-Solaitti and our staff from any claims, losses, damages, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your use of the Service in violation of applicable law; (c) claims by your customers related to your processing of their data; (d) any content you transmit through the Service.

12. Termination

Either party may terminate this agreement at any time by providing 30 days' written notice (email sufficient). We may terminate immediately if you breach these Terms, fail to pay fees, or engage in prohibited use.

On termination: (a) your subscription ends; (b) we will delete your business configuration data within 90 days, unless legal retention requirements apply; (c) customer conversation data is retained per your configured retention period; (d) data export is available for 30 days post-termination upon written request.

13. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of Qatar. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Doha, Qatar.

Before initiating legal proceedings, the parties agree to attempt to resolve disputes informally within 30 days of written notice of the dispute.
